Terms of Use

Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the TidyShot macOS application (the "Service") operated by PoTeam ("us", "we", or "our").

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you do not have permission to access the Service.

1. License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to use the TidyShot application on your macOS device(s) for your personal, non-commercial use, strictly in accordance with these Terms.

2. Free and Pro Versions

TidyShot is offered as a freemium application:

Free Version:

The free version of TidyShot provides access to core features with certain usage limitations. These limitations may include, but are not limited to, restrictions on the number of actions (such as organizing, categorizing, or processing screenshots) available within a given time period. Once these limits are reached, certain features may become temporarily unavailable until the limit resets.

Pro Version:

TidyShot Pro unlocks the full functionality of the application, removing usage limitations present in the free version. Pro is available as a one-time in-app purchase through the Apple App Store. All purchases are processed by Apple and are subject to Apple's terms and conditions.

We reserve the right to modify the features, limitations, and pricing of both the free and Pro versions at any time. Any changes to pricing will not affect existing purchases.

3. Restrictions on Use

You agree not to, and you will not permit others to:

a. License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the Service or make the Service available to any third party.

b. Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Service.

c. Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of us or our affiliates, partners, suppliers, or the licensors of the Service.

d. Use the Service for any illegal or unauthorized purpose.

e. Use the Service in any way that could damage, disable, overburden, or impair the Service or interfere with any other party's use of the Service.

4. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of PoTeam and its licensors. The Service is protected by copyright, trademark, and other laws of both Ukraine and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of PoTeam.

5. Refunds

All purchases are made through the Apple App Store and are subject to Apple's refund policy. We do not process refunds directly. If you wish to request a refund, please contact Apple Support.

6. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no representations or warranties of any kind, express or implied, as to the operation of the Service, or the information, content, or materials included therein. You expressly agree that your use of the Service, its content, and any services or items obtained from us is at your sole risk.

Neither PoTeam nor any person associated with PoTeam makes any warranty or representation with respect to the completeness, security, reliability, quality, accuracy, or availability of the Service. Without limiting the foregoing, neither PoTeam nor anyone associated with PoTeam represents or warrants that the Service, its content, or any services or items obtained through the Service will be accurate, reliable, error-free, or uninterrupted, that defects will be corrected, that the Service or the server that makes it available are free of viruses or other harmful components, or that the Service or any services or items obtained through the Service will otherwise meet your needs or expectations.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall PoTeam, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

8. Indemnification

You agree to defend, indemnify, and hold harmless PoTeam and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.

9. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of Ukraine, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
